Terms of Service

These Terms of Service (these “Terms”) form a legally binding agreement between you and Corion Intelligence LLC (“Corion AI,” “we,” “us,” or “our”). They govern your use of our website and the Corion AI API gateway, through which you access AI models via a unified API, and all related services (collectively, the “Services”).

These Terms incorporate by reference our Privacy Policy, pricing pages, documentation, and any other policies or notices we publish from time to time. By creating an account or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

If you use the Services on behalf of a company or other entity, you represent that you have authority to bind that entity, and “you” refers to that entity.

1. Eligibility

To use the Services, you must:

• Be at least 18 years old, or an entity with full power and authority to enter these Terms.
• Not have been previously suspended or removed from the Services.
• Not be located in a jurisdiction where use of the Services is prohibited by law.

You are responsible for ensuring that your use complies with all applicable laws. We may refuse service, suspend, or terminate accounts in our sole discretion.

2. Proprietary rights

The Services and all related software, website, documentation, and branding are owned by Corion AI or its licensors and are protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services as authorized by these Terms.

3. The service

Corion AI provides an OpenAI-compatible API gateway for access to frontier open models, including Kimi K3 and DeepSeek V4. You submit requests (“Inputs”), and the platform routes them to one or more model providers or inference environments to generate responses (“Outputs”).

We act as an intermediary routing and orchestration layer. We do not control third-party models and do not guarantee the accuracy, reliability, completeness, safety, or suitability of any Output. Features, models, availability, and pricing may change from time to time.

4. Data handling

• No training on your data. We do not use your Inputs or Outputs to train, fine-tune, or improve any general-purpose model.
• No storage by default. Inputs and Outputs are processed transiently and purged after the response is delivered. We do not write prompt or response content to persistent logs unless you opt in to logging or support, retention is necessary for abuse or security investigation, or retention is required by law.
• Identity shielding. Where feasible, we minimize disclosure of end-user identity to upstream providers by routing under Corion credentials and withholding user-identifiable metadata.
• Limited metadata. We may retain limited metadata such as token counts, timestamps, latency, model identifiers, and billing records for billing, analytics, security, and support.

Upstream providers process Inputs under their own terms and privacy practices. You are responsible for reviewing whether a given model or provider is appropriate for your use case.

5. Payments and billing

• Payments are processed by third-party payment processors such as Stripe.
• The Services operate on a prepaid basis, denominated in United States dollars.
• A successful request deducts its metered cost from your balance based on input and output tokens.
• Requests that fail before producing output are not billed; where we determine a charge was made in error, we may credit your account.
• Prices are exclusive of applicable taxes. You are responsible for any sales, use, value-added, or similar taxes.
• Prepaid credits are non-refundable except as required by applicable law or as we approve in writing in our sole discretion.

Buying credits adds usage balance; it does not guarantee a request rate, context window, model uptime, or availability. Current per-token rates are published on the pricing page. We may suspend or limit access for insufficient balance, failed payment, chargebacks, or fraud risk.

6. Your content

You retain ownership of your Inputs and Outputs. By submitting Inputs, you grant us a limited, non-exclusive, worldwide, royalty-free license to process, route, and transmit them solely as necessary to provide the Services. You are responsible for your content and for having the rights needed to submit it.

7. Acceptable use

You agree not to:

• Use the Services for unlawful, fraudulent, abusive, or harmful purposes.
• Submit content that infringes the rights of others or violates applicable law.
• Introduce malware, attempt unauthorized access, or interfere with the security or integrity of any system.
• Send unsolicited bulk messages or engage in other network abuse.
• Reverse engineer, decompile, or attempt to derive source code from the Services.
• Circumvent usage limits, billing controls, or technical safeguards.

We may suspend or terminate access for violations of this section.

8. Third-party services and model providers

The Services connect you to AI models operated by third-party providers. We are not the provider of those models and do not control or assume responsibility for them or their Outputs. Transmission of Inputs to providers is necessary to provide the Services. We make no representation or warranty regarding any third-party model or Output.

9. Confidentiality

You may not use or disclose nonpublic Corion AI information that you receive through the Services and that is designated confidential or that reasonably should be understood to be confidential, except as permitted by these Terms or in a separate signed writing.

10. No warranty

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

AI MODEL DISCLAIMER: WE MAKE NO WARRANTY REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, SAFETY, OR SUITABILITY OF ANY OUTPUT GENERATED BY ANY MODEL. OUTPUTS MAY CONTAIN ERRORS OR INACCURACIES, AND YOU ARE SOLELY RESPONSIBLE FOR EVALUATING AND RELYING ON THEM.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORION AI WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. IN NO EVENT WILL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF THE AMOUNT YOU PAID US FOR THE SERVICES IN THE ONE MONTH PRECEDING THE CLAIM OR ONE HUNDRED U.S. DOLLARS.

12. Indemnification

You agree to defend, indemnify, and hold harmless Corion AI and its officers, directors, employees, and agents from all claims, damages, and expenses arising out of your use of the Services, your content, or your violation of these Terms or applicable law.

13. DMCA

We comply with the Digital Millennium Copyright Act. If you believe material on or linked to the Services infringes your copyright, notify us at support@corion.ai with “DMCA Notice” in the subject line and reasonably detailed information.

14. Termination

You may stop using the Services at any time. We may suspend or terminate your access with or without cause and with or without notice. Provisions that by their nature should survive termination — including payment obligations, proprietary rights, disclaimers, limitation of liability, and indemnification — will survive.

15. Errors and omissions

Information on our website or Services may occasionally contain errors or inaccuracies. We reserve the right to correct them and to update information or cancel orders if necessary.

16. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in California, and you consent to their jurisdiction.

17. Miscellaneous

• These Terms, together with our Privacy Policy and other incorporated policies, are the entire agreement between you and us.
• If any provision is held unenforceable, the remaining provisions stay in effect.
• We may assign these Terms; you may not assign them without our prior written consent.
• Our failure to enforce any provision does not waive our right to enforce it later.
